Welcome to Jochya ("we," "our," or "us"). We are committed to providing quality men's bags at competitive prices through our direct factory-to-consumer model. These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Account Registration

2.1 Account Creation

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

3. Purchases And Payment

3.1 Factory-Direct Pricing

Our competitive pricing is made possible by our direct factory-to-consumer model. We own and operate our manufacturing facilities, which allows us to eliminate intermediaries and pass the savings on to you.

3.2 Pricing and Availability

All prices are shown in Nigerian Naira and are exclusive of applicable taxes unless otherwise stated. We reserve the right to change prices and availability at any time without notice.

3.3 Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated during checkout. By providing your payment information, you represent and warrant that you have the legal right to use the payment method you provide.

3.4 Order Processing

Your order is an offer to purchase our products. We reserve the right to accept or decline your order for any reason, including but not limited to product availability, errors in pricing or product information, or problems with your payment method.

4. Shipping And Delivery

4.1 Shipping Methods and Costs

Shipping methods, costs, and estimated delivery times are specified during checkout. We are not responsible for delays due to customs, weather conditions, or other factors beyond our control.

4.2 International Shipping

For international orders, you are responsible for any customs duties, taxes, or other fees imposed by your country's government. We are not responsible for any delays due to customs processing.

5. Return Policy

5.1 Return Eligibility

We accept returns of unworn, unwashed, and unaltered items within 30 days of delivery. Items must be returned in their original packaging with all tags attached.

5.2 Return Process

To initiate a return:

• Log in to your account and navigate to the "Order History" section
• Select the order containing the item(s) you wish to return
• Follow the instructions to generate a return shipping label
• Package the item(s) securely with all original tags and packaging
• Attach the return shipping label and ship the package back to us

5.3 Refunds

Once we receive and inspect the returned item(s), we will process your refund to the original payment method within 5-7 business days. Shipping costs are non-refundable unless the return is due to a defect or error on our part.

5.4 Exchanges

We do not process direct exchanges. If you wish to exchange an item, please return it following the process above and place a new order for the desired item.

5.5 Quality Guarantee

We stand behind the quality of our factory-direct products. If you receive a defective item, please contact our customer service team within 14 days of delivery for assistance.

6. Affiliate Program

6.1 Program Eligibility

Our Affiliate Program is open to individuals and businesses with an active online presence that aligns with our brand values. To apply, you must:

• Be at least 18 years old
• Have an active website, blog, or social media account
• Have content that is relevant to men's fashion, lifestyle, or related topics
• Comply with all applicable laws and regulations

6.2 Commission Structure

Affiliates earn a base commission of 10% on all qualified sales generated through their unique affiliate link. Higher commission rates may be available based on performance.

6.3 Payment Terms

Commissions are calculated monthly and paid within 10 days after the end of each month. Payments are made once the commission balance reaches a minimum of ₦5,000.

6.4 Affiliate Obligations

As an affiliate, you agree to:

• Present our brand and products accurately
• Disclose your affiliate relationship with us as required by law
• Not engage in any deceptive, misleading, or unethical practices
• Not bid on our brand name or variations in search engines

7. Dealership Program

7.1 Dealership Eligibility

Our Dealership Program is designed for retailers interested in selling our factory-direct products. To qualify, potential dealers must:

• Have an established physical retail location or e-commerce platform
• Demonstrate experience in men's bag retail
• Commit to minimum quarterly purchase requirements

7.2 Dealership Benefits

Approved dealers receive:

• Wholesale pricing (40-50% off retail MSRP)
• Access to exclusive dealer-only collections
• Marketing materials and product support
• Priority access to new product launches
• Quick and efficient Dealer Support

7.3 Dealer Obligations

Dealers agree to:

• Maintain the brand integrity of our products
• Maintain adequate inventory levels
• Adhere to our Minimum Advertised Price (MAP) policy
• Participate in quarterly business reviews

7.4 Application Process

To apply for our Dealership Program:

• Complete the dealer application form on our website
• Submit required business documentation
• Participate in a business review call with our dealer relations team
• Sign our Dealer Agreement if approved

8. Intellectual Property

8.1 Our Intellectual Property

All content on our Services, including but not limited to text, graphics, logos, images, and software, is our property or the property of our licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

11. Indemnification

You agree to defend, indemnify, and hold harmless Jochya and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our Services, your violation of these Terms, or your violation of any rights of another.

12. Governing Law And Dispute Resolution

12.1 Governing Law

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without giving effect to any principles of conflicts of law.

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration in accordance with the rules of the Nigerian Arbitration and Conciliation Act. The arbitration shall be conducted in Aba, Abia State, Nigeria.

13. Changes To Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Services will cease immediately.
